Welcome to Rook Quant AI. By accessing or using rookai.co, our waitlist, portal, and related products (collectively, the "Services"), you agree to these Terms of Service ("Terms"). Please read them carefully.

1. Acceptance of Terms

By creating an account, joining our waitlist, signing in, or otherwise using the Services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Description of Services

Rook Quant AI ("Rook," "we," "us," or "our") provides an AI-assisted options trading workflow. On paid seats, Rook can place real orders with real money in a linked Charles Schwab account when you enable live trading: ingest options alerts, resize them to your Limits, route orders, and journal fills. On every seat, including the free Pawn plan, you can connect other supported brokers through SnapTrade in read-only mode so Dashboard and Journal can show your account history. Rook does not place orders through SnapTrade. Features may include waitlist registration and invited portal access. Some features may be in development or limited to invited users.

3. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use the Services. By using the Services, you represent that you meet these requirements and that your use complies with applicable law in your jurisdiction.

4. Account Registration & Beta Access

Certain features require an account or invite. During beta, portal login may be limited to approved members. You are responsible for:

• Maintaining the confidentiality of your credentials
• All activity under your account
• Notifying us promptly of any unauthorized use

Joining the waitlist or creating an account does not guarantee portal access, a subscription seat, or any particular launch date.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of market or brokerage rules
• Attempt unauthorized access to any part of the Services or other users' data
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or disassemble any aspect of the Services except as permitted by law
• Use automated systems to scrape or extract data from the Services without our written consent
• Share account credentials or provide live access to non-subscribers

6. Financial & Trading Disclaimer

Real money. Real consequences. When live trading is enabled, Rook can submit option orders to your broker that buy and sell with funds in your account. You can lose some or all of the capital you risk — including losses that exceed your expectations on options. Nothing on Rook constitutes financial, investment, tax, or legal advice, or a recommendation to buy, sell, or hold any security or option. Options trading involves substantial risk of loss and is not suitable for everyone. You are solely responsible for enabling live trading, your Limits and risk controls, every order placed through the Services, and compliance with your broker's terms. Past performance does not guarantee future results. Rook does not guarantee fills, prices, timing, or profits.

7. Brokerage & Third-Party Services

Charles Schwab connections use Schwab OAuth and, when you turn Live on, can route real orders. SnapTrade (Passiv Inc.) is a separate connection. You sign in to your broker on SnapTrade's portal. Rook does not see or store that brokerage password. The SnapTrade connection we request is read-only: we use it to import accounts and past trades into your Journal. It does not authorize Rook to trade in that brokerage account.

Those connections are subject to the broker's terms and to SnapTrade's terms. Rook does not custody funds. Cash and positions stay at your broker. We are not responsible for third-party outages, delayed brokerage data, rejected orders, or fills. SnapTrade refreshes imported activity about once a day. Losses from orders you enable on Schwab are your responsibility. Rook is not endorsed by SnapTrade or by any broker.

8. Intellectual Property

All content, software, branding, and functionality of the Services are owned by Rook or its licensors and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent, except for personal, non-commercial use of materials we expressly make shareable (for example, public marketing posts).

9. Subscriptions and Payments

Certain Services may require a paid plan. By subscribing, you agree to pay applicable fees. Trial, renewal, and refund terms will be stated at purchase. Failure to pay may result in suspension of paid features.

10. Termination

We may suspend or terminate access to the Services at our discretion, with or without notice, for conduct that we believe violates these Terms, harms other users, or abuses the platform. You may stop using the Services at any time.

11. Limitation of Liability

To the fullest extent permitted by law, Rook and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or trading losses, arising from your use of the Services.

12. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee uninterrupted, error-free, or timely operation, or that alerts, sizing, or fills will match any particular outcome.

13. Changes to Terms

We may update these Terms from time to time. Material changes may be communicated through the Services or by email. Continued use after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict-of-law principles, except where mandatory local consumer protections apply.
